Overview

One-line take: A stable, annuity-backed road yield vehicle.

Q1 FY27 vs Q4 FY26 – headline

Key points
  • Portfolio: 12 operational HAM road assets, AUM ₹66,348 Mn (Jun-26), ~2,745 km design length, residual concession life 12.9 years, no traffic risk (NHAI annuity counterparty).
  • 4 of 6 annuities due in Q1 were received in the quarter (₹2,161.5 Mn); the other 2 (₹1,629 Mn) came in July – so Q1 cash is timing-light, Q3 is the heavy quarter (₹3,963.8 Mn scheduled).
  • Consolidated opex nearly doubled QoQ (₹576.8 → ₹1,084.7 Mn) on planned maintenance and upkeep; consolidated EBITDA fell 35.9% QoQ.
  • Net debt/EV 41.1%; cost of debt eased to 7.24% (from 7.33%); CRISIL AAA / ICRA AAA on the Trust.
  • Growth: 6 sponsor ROFO HAM assets (₹48,710 Mn bid project cost, 181 km) under due diligence for FY27; AUM target ~₹100,000 Mn by Mar-27.
  • Traffic (informational only – annuity assets): average monthly portfolio traffic ~30 lakh vehicles, ~+6% QoQ.

Section 80M vs the InvIT pass-through
  • Section 80M relieves a domestic company that receives dividend and passes it on to its own shareholders. It only avoids double tax at the holding-company level; the shareholder is still taxed on the dividend. It covers dividend only, not interest or capital repayment.
  • The Trust is not a company. Its relief comes from the separate business-trust pass-through rules for SPV interest and dividend, subject to conditions.
  • So “Trust profits are not taxable” is loose: SPV profit is taxed at SPV level, and the final tax is collected from unitholders.
General guidance only – not tax advice. Rates, conditions, TDS and the treatment for each class of unitholder should be confirmed with the Trust's tax counsel or a chartered accountant. The deck does not disclose SPV-wise tax paid or effective tax rates, so none are estimated here.

Financials

Consolidated

Standalone (Trust)

Consolidated EBITDA & PAT (₹ Mn)
Revenue from operations, 5 quarters (₹ Mn)†
Q1 FY26 to Q3 FY26 from aggregator data†; Q4 FY26 and Q1 FY27 from the Trust. Q1 FY26 had a consolidated loss (about ₹-737 Mn†), so YoY PAT growth is not meaningful. One aggregator shows a +270% YoY profit change that conflicts with this – treat as unreliable.
Reading the numbers
  • Consolidated EBITDA margin on total income: 61.3% (1,807.4 / 2,949.5); PAT margin 42.6%.
  • Standalone EBITDA ₹2,258.2 Mn is ~97.6% of standalone income – the Trust is a holding/financing layer; the opex lives in the SPVs.
  • FY26: AUM ₹66,114 Mn (+42% YoY†), net profit ₹2,105.1 Mn†, DPU ₹11.60 (incl. ₹4.70 capital repayment).

Cash Flow, Ratios & Working Capital

For an InvIT the cash-flow lens that matters is NDCF (net distributable cash flow). A full consolidated operating/investing/financing cash-flow statement for the quarter is not in the investor deck – shown as n/a rather than estimated.

NDCF bridge – SPV cash to unitholders (₹ Mn)

Key ratios

Working capital

  • SPV-level working-capital change in Q1 FY27: ₹-303.1 Mn (current-liability unwinds ₹-768.4 Mn, partly offset by tax-asset release ₹+346.4 Mn and GST ₹+78.0 Mn).
  • Receivables: trade receivables change only ₹+11.2 Mn – annuities are paid by NHAI, so working capital is mostly timing of tax assets / payables, not credit risk.
  • Debtor days improved from 41.5 to 17.5 (annual basis, aggregator†).
  • Cash & equivalents ₹4,101.4 Mn at Jun-26 (₹4,367.9 Mn at Mar-26).

Distribution (DPU)

DPU by quarter (₹/unit)
Q1 FY26 ₹3.55; the deck's milestone list shows a different Q1 FY26 figure, but quarterly DPUs must sum to FY26's ₹11.60, which supports ₹3.55.
Q1 FY27 DPU composition (₹/unit)
FY27 guidance bridge (₹ Mn): inflows 12,745 – expenses 3,825 – debt obligations 3,742 – reserves 2,759–2,876 = distributions 4,430–4,547 (DPU ₹9.00–9.25 on 491.55 Mn units). Annualised Q1 DPU = ₹9.28.
Management says up to ~25% of distributions may be non-taxable capital repayment; Q1 FY27 capital-repayment share was only ₹0.19 of ₹2.32 (8%).

Portfolio & Annuity Calendar

FY27 expected annuity receipts by quarter (₹ Mn)
Total scheduled FY27 annuities ₹12,308.5 Mn (excl. taxes). Q1 actual received ₹2,161.5 Mn from 4 of 6 annuities; remaining 2 (₹1,629.4 Mn) received July 2026.

Growth & Balance Sheet

FY27 acquisition targets (ROFO, under due diligence)

AUM path (₹ Mn)

Debt

Net borrowing ratio (% of EV)
Management plans to lift leverage to 57.5–60% by FY27-end (unitholder consent needed) and sees capacity up to 70% post the Q1 distribution. Cost of debt 7.24%; 58.6% floating (HAM annuity interest is the natural hedge).

Valuation

Yield sensitivity (arithmetic only)

Unit price implied by the FY27 guided DPU midpoint (₹9.125) at different required cash yields. This is a calculation, not a target price.

Context
  • Units trade ~1.03x the Mar-26 NAV of ₹74.7 – no discount, so the thesis depends on distributions holding and NAV accretion from acquisitions.
  • NAV trend: ₹65.6 (Jun-25) → 67.5 → 72.3 → 74.7 (Mar-26); NAV is updated half-yearly.
  • Pricing a road-annuity InvIT on yield: the guided DPU is ~20% below FY26's ₹11.60 because FY26 included heavy capital-return distributions and the Nov/Dec-25 unit issuances raised the unit count to 491.55 Mn.

Market Activity

Why the units have moved (context)
  • IPO at ₹99 (Jan-25), peaked at ₹109.99 (3 Mar 2025), then drifted lower as large capital-return distributions reduced NAV and DPU normalised.
  • All-time low ₹66.65 on 23 Mar 2026, a few months after the ₹3,450 Mn preferential issue (Nov-25) and ₹12,500 Mn QIP (Dec-25) added units.
  • Recovery to the mid-₹70s: stable distributions, AAA rating reaffirmed by CRISIL (27 Aug 2026), and a visible acquisition pipeline.
  • Low beta/volatility (~0.2 beta on one data source†) – behaves like a yield instrument, not a growth equity.

SWOT

Strengths

  • Sovereign-linked NHAI annuities, no traffic risk
  • AAA rating; net debt/EV 41.1%
  • Fixed-price O&M via sponsor PMA; no NHAI litigation or penalty
  • Cost of debt falling (7.33% → 7.24%)
  • Diverse base: MFs 17%, insurance 11%, pension 4%

Weaknesses

  • FY27 DPU guide ~20% below FY26
  • Lumpy half-yearly annuity timing makes quarters uneven
  • Sponsor ~32% holder and also project manager and ROFO seller – related-party structure
  • Residual life 12.9 yrs: NAV amortises without acquisitions
  • Q1 consolidated opex +88% QoQ

Opportunities

  • 6 ROFO assets (₹48,710 Mn) → 18 assets; AUM +50% to ~₹100,000 Mn
  • 17-asset ROFO pipeline; third-party assets possible
  • NMP 2.0: ~₹3.35 lakh crore highway monetisation; road InvIT AUM ₹3.2 tn (2026) → ₹8.8 tn (2030E)
  • Higher leverage (to 57.5–60%) can lift DPU if acquisitions are accretive

Threats

  • Rate-hike cycle / inflation (FY27 inflation forecast 5.1%; repo 5.25%)
  • Acquisition valuation or funding risk; unit dilution
  • Leverage creep toward 60–70%
  • Slower NHAI payments or annuity deductions
  • Policy/tax changes on InvIT distributions

Analysts' Rating

Status: No broker coverage found Public aggregators (Trendlyne, Tickertape, Yahoo) show no analyst estimates, rating counts or target prices for CAPINVIT, and Morningstar lists it as not rated. CB Research does not issue its own Buy/Hold/Sell – rating and target cells are therefore n/a rather than estimated. Once any broker initiates coverage, add it with its name, date and target.
The yield-sensitivity table on the Valuation tab shows the arithmetic a reader can use for their own required-yield view.
